Talia Terms and Conditions

1. Introduction

Welcome to our terms and conditions (the “Terms”), please read the contents of this legal agreement carefully before using our Website and/or Application. 

These Terms should be read alongside our Privacy Policy [and Cookies Policy]. 

By using our Website and/or Application you acknowledge and accept these Terms and any additional terms that may be applicable to any product or service. If you don't accept these terms, you should not use the Website or Application. On each occasion that you access the Website or Application you'll be deemed to have accepted the Terms as applicable at that time.

We may revise or amend these Terms at any time, so you should check here from time to time for any updates. Any revisions or amendments to these Terms will take immediate effect upon being placed on this Website.

2. Definitions

Application means the Talia mobile application created for mobile, tablet and other smart device systems

Services means the information and/or services provided by Talia through the Application and/or Website as further described in these Terms as well as within the Application and/or Website

Talia means Hera Money Ltd (trading as Talia), a company incorporated in England and Wales with company number 12913869, whose registered office is Second Floor, 3 Liverpool Gardens, Worthing, West Sussex, England, BN11 1TF 

We, us, our means Talia You, your, yours means any natural person or legal entity using this Website and/or Application. You must be aged 18 or over to use any of the Services 

Website means our website https://www.jointalia.com/ including its subdomains and any other website through which Talia makes its Service available

3. Availability of our website and application

We don’t guarantee that our Website or our Application, or any content on it, will always be available or be uninterrupted and we may suspend, withdraw, change or restrict the availability of all or any part of our Website or Application for business and operational reasons without notice.  

All information provided on our Website is for general information only.  We do not accept any liability for any damage or loss caused by any use, reliance or information on our Website, including any errors or omissions.

No fees are currently charged by Talia in respect of the Services provided under these Terms. We reserve the right to charge the fees for the provision of the Website and/or Application at a later date by providing notice by updating the Website and, as applicable, the Application.

4. Account registration and acceptable use

In return for you agreeing to be bound by these Terms, Talia grants you a non-transferable, revocable, non-exclusive limited licence to use the Application. 

To use the Service you must register or create a user account, providing all required data or information in a complete and truthful manner, failure to do so will result in unavailability of the Service.

You must use all reasonable endeavours to prevent any unauthorised access to, or use, of the Application, and in the event of becoming aware of such unauthorised access or use, promptly notify us. Talia has the right to disable any user identification code, access link or password, whether chosen by you or allocated by us, at any time if, in our reasonable opinion, you have failed to comply with any provision of these Terms.

Accounts registered by bots or any other automated methods are not permitted. Unless otherwise specified, you must register only one account and unless explicitly permitted, your account may not be shared with other persons.

5. Intellectual property rights

Our Website and the Application, including any information or material displayed on its pages, are the property of Talia unless otherwise stated. 

You must not (or allow a third party to) copy, modify, duplicate, decompile, reverse compile, disassemble, screen scrape, reverse engineer or create any derivative works of any content from our Services, unless expressly permitted by us.

You must not access any or part of the Application in order to build a product or service which competes with the Services, or to use the Application (or any part of it) to provide services to third parties.

“Talia” including the stylised Talia word mark are UK registered trademarks and European Union trademarks of Talia. Please do not use any of our trademarks or logos without our prior written permission.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Application provided by you to us shall become our sole property. 

We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of any submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. 

You hereby waive all moral rights to any such submissions, and you hereby warrant (to the extent possible) that any such submissions are original with you or that you have the right to submit such submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your submissions.

6. External Links

Through the Application you may have access to external resources provided by third parties. You acknowledge and accept that Talia has no control over the security, content or availability of third party websites or content.

We do not endorse or make any representations about the suitability or appropriateness of services or material  provided by third parties nor the security of any third party website.

We do not accept any liability whatsoever for your use of third party websites or services.We may offer services or products from third parties through partnerships with other organisations from time to time.

Your use of these services or products will be governed by separate terms and conditions with that third party and we exclude any liability for any use of such services or products.No endorsement or approval of any third parties or their advice, opinions, information, products or services is expressed or implied by any information on our Website.

Conditions applicable to any content provided by third parties, including those applicable to any possible grant of rights in content, may be subject to additional third party terms and conditions or, applicable statutory law.

7. Termination

We may suspend or terminate access to the Application immediately where (i) we reasonably believe your account has been accessed improperly or fraudulently, or (ii) you are in material or persistent breach of any of your obligations under these Terms and if that breach is capable of remedy and you have failed to remedy that breach within thirty (30) days after receiving written notice requiring you to remedy that breach.

On termination of your account for any reason:

(i) all licences granted under these Terms shall immediately terminate; and

(ii) any rights and remedies of Talia that have accrued up to the date of termination, including the right to claim damages in respect of any breach of these Terms which existed at or before the date of termination shall not be affected or prejudiced.

The suspension or deletion of your account shall not entitle you to any claims for compensation, damages or reimbursement.

8. Local law

The information provided on the Application is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. 

Accordingly, those persons who choose to access the Application from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

9. No advice

We do not provide any financial, pensions, regulatory, legal, tax or investment advice. Nothing on our Website or Application should be construed as financial, pensions, regulatory, legal, tax or investment advice.

10. Liability

The Website and Application are provided on an “as is” basis, you shall have no right to claim damages against Talia (or any natural or legal person acting on its behalf). To the fullest extent permitted by applicable law, we hereby disclaim, make no representations or warranties of any kind, including without limitation:

(i) any implied representations, conditions or warranties of merchantability, satisfactory quality, fitness for a specific purpose, title or non-infringement;

(ii) that the Website or Application, will meet your requirements, always be available, accessible, uninterrupted, secure, free of error or omission, or will contain any particular features or functionality; or

(ii) any implied warranties arising from the course of dealing or usage.We do not exclude liability for:(i) death or personal injury resulting from our negligence;

(ii) fraud or fraudulent misrepresentation; or

(iii) any other matter which cannot be excluded or limited.

We shall not have any liability for:

(i) any loss or damage, direct or indirect, that may be incurred by the you (such as, but not limited to, trading losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.);

(ii) damages or losses resulting from interruptions or malfunctions of the Website or Application including if it is unavailable at any time or for any period or any errors, mistakes or inaccuracies in content or materials on our Website or Application;

(iii) any unauthorised access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, or any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Application by any third party.  

(iv) due to a force majeure, or unforeseen and unforeseeable events, which are independent of the will and beyond our control, such as, but not limited to, failures or disruptions of telephone or electrical lines, the Internet and / or other means of transmission, unavailability of websites, strikes, natural disasters, viruses and cyber attacks, interruptions in the delivery of products, third-party services or applications;

(v) any losses that are not the direct consequence of a breach of the Terms by the us;

Our entire liability to you for any cause whatsoever shall at all times be limited to the lesser of the amount paid, if any, by you to us during the twelve (12) month period prior to any cause of action arising or one hundred pounds (£100) GBP.

11. No Waiver

A failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.

12. Severance

If any provision (or part of a provision) of these Terms is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, the courts of which have exclusive jurisdiction to settle any dispute or claim arising out of or relating to these Terms.
